Terms of Use#

These Terms of Use (these "Terms") govern your access to and use of taskspace (the "Website"), including any content, functionality, and services offered on or through the Website.

By accessing or using the Website, you acknowledge that you have read, understand, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Website.

We may change or update these Terms from time to time. We will post any changes on this page and, if the changes are significant, we will provide a more prominent notice (including, for certain services, email notification of changes to the Terms of Use). We encourage you to review the Terms regularly to stay informed about our collection, use, and sharing of your personal information.

Membership#

You can cancel your taskspace membership and delete your account at any time. To cancel, Log in to your account. Open the "Settings" menu by clicking your avatar, click "Account" and select the "Delete Account" button. If you decide to delete your account, you will have 14 days to re-activate before all of your data is permanently deleted and your data will not be recoverable.

Subscription Plans#

taskspace offers both free and paid subscription plans. The free plan includes limited features, while our Pro plan provides unlimited access to all features. Current pricing and feature details are available on our Pricing page.

Billing: Pro subscriptions are billed in advance on a monthly or yearly basis depending on your selected plan. All payments are processed securely through Stripe.

Cancellation: You may cancel your Pro subscription at any time through the Settings menu. Upon cancellation, you will retain access to Pro features until the end of your current billing period. After that, your account will revert to the free plan.

Refunds: If you are not satisfied with your Pro subscription within the first 7 days, you may contact us at hello@taskspace.app for a full refund. Refunds are not available after the 7-day period.

Plan Limits: If you downgrade from Pro to the free plan and exceed the free plan limits (boards, columns, or tasks), your existing data will be preserved but you will not be able to create new items until you are within the free plan limits or upgrade again.

Price Changes: We reserve the right to change subscription prices at any time. Existing subscribers will be notified at least 30 days before any price increase takes effect on their account.

Accessing the Website and Account Security#

We reserve the right to withdraw or amend the Website, and any service or material we provide on the Website, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Website is unavailable at any time or for any period.

To access the Website or some of the resources it offers, you may be asked to provide certain registration details or other information. It is a condition of your use of the Website that all the information you provide on the Website is correct, current, and complete.

You are responsible for maintaining the confidentiality of your account and password, and you are responsible for all activities that occur under your account. If you believe that your account is no longer secure, you must immediately notify us at hello@taskspace.app

Use of the Website#

The Website and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by taskspace, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You may use the Website and the content and information on the Website only for your personal, non-commercial use. You may not use the Website or any of its content or information for any commercial purpose or for any other unauthorized purpose.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, transmit, or allow machine learning models (e.g. GPT3) to learn any of the material on the Website, except as follows:

• Your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.
• You may store files that are automatically cached by your Web browser for display enhancement purposes.

If you print, copy, modify, download, or otherwise use or provide any other person with access to any part of the Website in breach of the Terms of Use, your right to use the Website will cease immediately and you must, at our option, return or destroy any copies of the materials you have made.

The Website may contain links to third-party websites or resources. We provide these links only as a convenience and are not responsible for the content, products, or services on or available from those websites or resources or links displayed on such sites. You acknowledge sole responsibility for and assume all risk arising from your use of any such websites or resources.

The Website may contain content that is not intended for children under the age of 13. By using the Website, you represent and warrant that you are 13 years of age or older, and that you have the right, authority, and capacity to enter into and abide by these Terms. If you are under the age of 13, you may not access or use the Website.

We do not engage in prohibited transactions with individuals or entities located in specific countries (Cuba, Iran, North Korea, Syria) or regions (Crimea, Donetsk, Kherson, Luhansk, Zaporizhzhia) or on restricted person or party lists. Use of the Website must comply with applicable laws and regulations.

We may terminate or suspend your access to the Website and/or your account, without notice and at our sole discretion, for any reason or no reason, including if we believe that you have violated our terms, policies or applicable laws.

Disclaimers#

The Website and all of the information it contains, or may in the future contain, are provided on an "as is" and "as available" basis, with no warranties of any kind, either express or implied.

To the fullest extent permitted by law, taskspace and its affiliates, partners, and licensors hereby disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

taskspace does not warrant that the Website will operate error-free or that the Website or its server are free of viruses or other harmful components. If your use of the Website or the material on the Website results in the need for servicing or replacing equipment or data, taskspace is not responsible for those costs.

Limitation of Liability#

To the fullest extent permitted by law, in no event will taskspace or its affiliates, partners, or licensors be liable for any damages of any kind, under any legal theory, arising out of or in connection with your use, or inability to use, the Website, any websites linked to it, any content on the Website or such other websites, including any direct, indirect, special, incidental, consequential, or punitive damages, including but not limited to, personal injury, pain and suffering, emotional distress, loss of revenue, loss of profits, loss of business or anticipated savings, loss of use, loss of goodwill, loss of data, and whether caused by tort (including negligence), breach of contract, or otherwise, even if foreseeable.

Indemnification#

You agree to defend, indemnify, and hold harmless taskspace and its affiliates, partners, and licensors from and against any and all claims, damages, costs, and expenses, including attorneys' fees, arising from or related to your use of the Website.

Governing Law and Jurisdiction#

These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located in New York County, New York.

Dispute Resolution and Arbitration#

Informal Resolution: Before filing a claim, you agree to try to resolve the dispute informally by contacting us at hello@taskspace.app. We will attempt to resolve the dispute informally within 30 days.

Binding Arbitration: If we cannot resolve a dispute informally, any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Website shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules. The arbitration will be conducted in New York, New York, or at another mutually agreed location, or via telephone or video conference if permitted by the arbitrator.

Class Action Waiver: YOU AND TASKSPACE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both you and taskspace agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

Exceptions: Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement or misappropriation of intellectual property rights.

Service Availability#

We do not guarantee that the Website will be available at all times or without interruption. We may experience hardware, software, or other problems, or need to perform maintenance related to the Website, resulting in interruptions, delays, or errors. We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Website at any time without notice to you.

Force Majeure#

taskspace shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from any cause beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

Miscellaneous#

These Terms constitute the entire and exclusive understanding and agreement between taskspace and you regarding the Website, and these Terms supersede and replace any and all prior oral or written understandings or agreements between taskspace and you regarding the Website.

If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent possible, and the other provisions will remain in full force and effect.

You may not assign or transfer these Terms or your rights or obligations under these Terms, in whole or in part, without our prior written consent. We may assign or transfer these Terms or our rights or obligations under these Terms, in whole or in part, at any time without notice to you.

No waiver by taskspace of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of taskspace to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
